Bayer raised its 2026 earnings and cash flow forecasts on Tuesday, November 3, after reporting stronger-than-expected third-quarter sales and operating profits. The German pharmaceutical and agricultural company benefited from solid growth in its healthcare business, which helped offset continued financial challenges.
Bayer’s Q3 earnings exceeded analyst expectations at the sales and adjusted EBITDA levels, prompting management to upgrade several full-year financial targets.
However, the company still reported a quarterly net loss, while litigation expenses and negative free cash flow highlighted the financial pressures facing the group.
Bayer Q3 Earnings Beat Analyst Expectations
Bayer (ETR: BAYGn) reported third-quarter revenue of €10.05 billion, representing a 4.1% increase from €9.66 billion during the same period last year.
The results surpassed the €9.92 billion consensus estimate compiled by Vara Research, reflecting stronger business performance than analysts had anticipated.
Meanwhile, EBITDA before special items increased 6.9% to €1.62 billion, compared with €1.51 billion a year earlier.
This figure also exceeded market expectations of approximately €1.43 billion, demonstrating improved underlying operating performance.
The stronger results were primarily driven by Bayer’s pharmaceuticals division, which recorded significant revenue and earnings growth.
Pharmaceuticals Division Drives Bayer’s Revenue Growth
Bayer’s pharmaceuticals business emerged as the main contributor to the company’s improved quarterly performance.
Division sales increased 8% year-over-year to €4.68 billion, supported by strong demand for several key pharmaceutical products.
EBITDA before special items climbed 23.6% to €1.29 billion, compared with approximately €1.05 billion in the previous year.
The growth was supported by strong performance from Nubeqa, a prostate cancer treatment, and Kerendia, which is used to treat certain kidney and cardiovascular conditions.
Chief Executive Bill Anderson highlighted the pharmaceuticals division’s improving growth trajectory, suggesting that the business has entered a more positive phase after facing several challenging years.
The division’s performance also strengthened management’s confidence in Bayer’s ability to achieve its revised full-year financial targets.
Bayer Reports €672 Million Net Loss Despite Stronger Sales
Despite exceeding revenue and operating earnings expectations, Bayer remained unprofitable on a net income basis during the third quarter.
The company reported a net loss of €672 million, narrowing from a €963 million loss recorded a year earlier.
However, the latest result was considerably worse than the €242 million loss anticipated by analysts.
The quarterly figures included a €307 million impairment charge related to the Xofigo pharmaceutical brand, alongside other exceptional financial adjustments.
Bayer also recorded €407 million in net special charges, reflecting impairment losses and litigation-related expenses.
Meanwhile, core earnings per share declined to €0.31 from €0.49 in the corresponding quarter of 2025.
The figure missed the analyst consensus of €0.36 per share, partly because of non-cash financial charges associated with changes in interest rates.
These results demonstrate that Bayer’s stronger operating performance has not yet translated into a comparable improvement in bottom-line profitability.
Free Cash Flow Turns Negative Amid Litigation Costs
Bayer’s cash flow performance also weakened significantly during the quarter.
Free cash flow declined to negative €293 million, compared with positive €596 million in the same period last year.
The deterioration partly reflected increased payments associated with ongoing legal proceedings.
Legal costs remain an important financial challenge for Bayer, particularly as the company continues addressing litigation connected to its agricultural chemicals business.
Nevertheless, Bayer managed to reduce its net financial debt.
At the end of September, net debt stood at approximately €31.08 billion, compared with €32.71 billion a year earlier.
The improvement was largely supported by a €3 billion payment from Apollo Global Management in exchange for a minority stake in a newly established entity.
This transaction helped strengthen Bayer’s balance sheet despite the negative quarterly cash flow.
Bayer Raises 2026 EBITDA and Cash Flow Forecasts
Following its stronger-than-expected operating performance, Bayer upgraded several financial projections for the full year.
The company now expects currency-adjusted EBITDA before special items to reach between €9.8 billion and €10.3 billion in 2026.
Its previous forecast called for adjusted EBITDA of €9.6 billion to €10.1 billion.
Bayer also improved its free cash flow guidance, anticipating a negative balance between €1.5 billion and €0.5 billion.
That represents a significant improvement from the earlier forecast of negative €2.5 billion to negative €1.5 billion.
Although free cash flow is still expected to remain negative, the revised outlook suggests that management anticipates a smaller cash shortfall than previously projected.
The company also lowered its expected year-end net financial debt to between €28 billion and €29 billion, compared with its previous estimate of €29 billion to €30 billion.
These adjustments reflect greater confidence in Bayer’s financial performance during the final months of 2026.
Bayer Upgrades Pharmaceuticals Profit Margin Outlook
The pharmaceuticals division remains central to Bayer’s strategy for improving profitability.
Following its strong third-quarter performance, the company increased its full-year EBITDA margin forecast for the division to between 25% and 27%.
Previously, management expected a margin of 23% to 25%.
The improved forecast reflects stronger sales, better operating efficiency, and growing contributions from key pharmaceutical treatments.
Chief Financial Officer Judith Hartmann said the company’s performance during the first nine months of 2026 supported its decision to raise earnings, cash flow, and debt targets.
The updated projections also indicate that Bayer expects the positive momentum in pharmaceuticals to continue through the remainder of the year.
Bayer Outlook: Stronger Earnings Meet Ongoing Financial Challenges
Bayer’s latest earnings report presents a mixed picture for investors.
On one hand, stronger pharmaceutical sales, higher adjusted EBITDA, and improved financial guidance suggest that the company’s operational recovery is gaining momentum.
On the other hand, continued net losses, litigation expenses, and negative free cash flow remain significant challenges.
The company’s ability to reduce debt and strengthen profitability will be particularly important as it continues restructuring its operations and investing in future growth.
Investors will now monitor pharmaceutical sales, litigation developments, and cash generation to assess whether Bayer can sustain its improving operating performance.
For now, the upgraded 2026 outlook provides a positive signal, although the company’s longer-term financial recovery remains dependent on controlling costs and improving cash flow.
