Marvell Technology has agreed to acquire Lumentum in a $115 billion all-stock transaction, marking one of the largest technology acquisitions of 2026 and a major expansion into artificial intelligence infrastructure.

The Marvell Lumentum deal, announced on Monday, November 2, aims to combine advanced semiconductor technologies with optical networking solutions used in high-performance AI data centers.

Under the agreement, Lumentum shareholders will receive 4.5 Marvell shares for each share they own. The transaction carries an implied enterprise value of $115 billion, including debt, and an equity valuation of approximately $102.54 billion.

The companies expect the acquisition to strengthen their competitive position in the rapidly expanding AI connectivity market.

Marvell Lumentum Deal Values Acquisition at $115 Billion

The agreement values each Lumentum share at approximately $1,132, based on the share prices used to calculate the transaction.

This represents a premium of roughly 23.9% to Lumentum’s unaffected market valuation on October 28, before speculation about a possible acquisition emerged.

Following completion, existing Marvell shareholders are expected to control approximately 67% of the combined company on a fully diluted basis.

Meanwhile, Lumentum shareholders will own the remaining 33%.

Both companies’ boards of directors have unanimously approved the acquisition.

Marvell Chairman and CEO Matt Murphy will continue leading the combined business after the transaction closes.

Additionally, three Lumentum board members, including CEO Michael Hurlston, will join Marvell’s board.

The transaction is expected to close during the first half of 2028, subject to shareholder approval, regulatory clearance, and other customary conditions.

Marvell Targets $1 Billion in Annual Cost Savings

The companies expect the merger to generate more than $1 billion in annual run-rate cost savings.

These savings could result from operational efficiencies, technology integration, and the combination of overlapping business activities.

Furthermore, Marvell anticipates that the acquisition will increase its adjusted earnings per share during the first year following completion.

The combined business is also expected to benefit from stronger long-term revenue growth and improved adjusted operating margins.

By integrating their semiconductor and optical technologies, Marvell and Lumentum aim to address growing demand for faster, more efficient data transmission within AI infrastructure.

The acquisition could also strengthen Marvell’s position against major competitors in the semiconductor and data center networking markets.

AI Data Center Demand Drives Marvell’s Acquisition Strategy

The rapid expansion of artificial intelligence is increasing demand for advanced networking and optical connectivity technologies.

Modern AI data centers require enormous computing capacity, supported by high-speed connections between processors, servers, and other infrastructure components.

As these systems become more complex, traditional connectivity technologies face growing limitations in bandwidth and energy efficiency.

Optical networking solutions offer an increasingly important alternative, allowing large volumes of data to move quickly between computing systems.

Marvell specializes in advanced semiconductors, custom processors, networking chips, and data center connectivity.

Lumentum brings complementary expertise in optical components, high-performance lasers, and optical circuit switching.

Together, the companies aim to develop more integrated solutions for next-generation AI infrastructure.

Marvell estimates that the combination could expand its total addressable market to approximately $550 billion.

However, realizing these opportunities will depend on successful integration and continued investment in artificial intelligence infrastructure.

Lumentum Reports Strong First-Quarter 2027 Earnings

Alongside the acquisition announcement, Lumentum released stronger-than-expected financial results for the first quarter of fiscal 2027.

The company reported adjusted earnings of $4.57 per share, significantly above the $1.10 recorded during the same period last year.

The result also exceeded analysts’ expectations of approximately $4.21 per share.

Revenue climbed to $1.26 billion from $533.8 million a year earlier, broadly matching market forecasts.

The strong performance highlights growing demand for the company’s optical networking products and components.

Lumentum Profit Margins Show Significant Improvement

Lumentum also recorded substantial improvements in profitability.

Adjusted operating income reached approximately $534.4 million, exceeding analysts’ estimates of $500.7 million.

Meanwhile, the company’s adjusted gross margin increased to 53.2%, compared with 39.4% during the corresponding quarter of the previous year.

Revenue from components reached $754.2 million.

The systems division generated $508.4 million in revenue, compared with $154.6 million a year earlier.

These results reflect growth across several business segments, supported by stronger demand for products used in cloud computing and AI infrastructure.

CEO Michael Hurlston highlighted pump lasers and optical circuit switches as important contributors to the company’s recent expansion.

The company also reported continued momentum in cloud networking products, reinforcing expectations for further revenue growth.

Lumentum Raises Growth Expectations for Fiscal Second Quarter

Lumentum issued an optimistic outlook for the second quarter of fiscal 2027.

The company expects revenue between $1.575 billion and $1.625 billion, exceeding the analyst consensus of approximately $1.48 billion.

Additionally, Lumentum forecasts adjusted earnings per share of $5.90 to $6.20, compared with market expectations of $5.07.

Its projected non-GAAP operating margin ranges from 45% to 46%.

The guidance suggests that Lumentum expects significant demand growth to continue across its optical networking businesses.

Management anticipates approximately $350 million in additional sequential revenue, an amount exceeding the company’s entire quarterly revenue from just two years earlier.

These projections highlight the scale of Lumentum’s recent expansion and its growing exposure to the AI infrastructure market.

Marvell Maintains Revenue Guidance Ahead of Acquisition

Marvell also provided an update on its financial performance alongside the merger announcement.

The company indicated that preliminary revenue for the third quarter of fiscal 2027 remains consistent with its previous guidance.

However, management narrowed the expected revenue range to plus or minus 2%, compared with the earlier range of plus or minus 5%.

The midpoint of its revenue guidance remained unchanged.

This narrower range suggests greater visibility into quarterly revenue performance.

Nevertheless, investors will continue assessing how the proposed acquisition could affect Marvell’s financial structure, profitability, and long-term growth prospects.

Marvell and Lumentum Shares React to Merger Announcement

The acquisition announcement initially generated positive movements in both companies’ shares.

During early premarket activity, Lumentum stock gained approximately 2.5% before trading was temporarily halted pending the release of additional information.

Marvell shares also rose around 3.4% during the initial market reaction.

However, the stocks subsequently reversed direction as investors evaluated the transaction’s valuation and financial implications.

Later in Monday’s trading session, Marvell shares declined more than 10%, while Lumentum fell over 15%.

The reversal highlighted investor concerns about the acquisition’s enormous size, integration risks, and the sustainability of AI infrastructure spending.

Because the agreement uses a fixed stock exchange ratio, changes in Marvell’s share price also affect the market value of the consideration offered to Lumentum shareholders.

Marvell Lumentum Acquisition Outlook

The proposed $115 billion acquisition represents a major strategic investment in the future of artificial intelligence connectivity.

By combining Marvell’s semiconductor expertise with Lumentum’s optical networking technologies, the companies aim to strengthen their position in a rapidly expanding industry.

Lumentum’s strong quarterly earnings and optimistic revenue guidance provide additional evidence of growing demand for advanced optical infrastructure.

Meanwhile, the projected $1 billion in annual cost savings and expected earnings benefits could support the transaction’s longer-term financial rationale.

However, the size of the acquisition also introduces significant execution risks, including regulatory scrutiny, integration challenges, and uncertainty surrounding future AI investment returns.

Ultimately, the success of the Marvell Lumentum deal will depend on whether the combined company can convert rising demand for AI connectivity into sustainable revenue growth and profitability.
