Microsoft Shares Fall as OpenAI Deal Becomes Non-Exclusive

Microsoft shares dropped 2% on Monday, while Amazon gained around 1%, following news that OpenAI will move to a non-exclusive licensing model with Microsoft.

New Agreement Ends Exclusivity

The updated partnership removes Microsoft’s exclusive access to OpenAI’s intellectual property. Although Microsoft will still retain a license to OpenAI’s models and products through 2032, the agreement now allows OpenAI to license its technology to additional partners.

This marks a major shift, opening the door for OpenAI to expand across multiple cloud ecosystems rather than being tied to a single provider.

Changes to Revenue Sharing Structure

Under the revised terms, Microsoft will no longer pay revenue-sharing fees to OpenAI. However, OpenAI will continue to share a portion of its revenue with Microsoft through 2030, based on the same percentage structure but with an overall cap.

These payments will remain in place regardless of OpenAI’s future technological developments.

Azure Retains Strategic Role

Despite the changes, Microsoft will continue to serve as OpenAI’s primary cloud partner. OpenAI’s products will still be launched first on Microsoft’s Azure platform, unless Microsoft is unable or unwilling to support specific capabilities.

At the same time, OpenAI now has the flexibility to deliver its products across any cloud provider, significantly expanding its distribution reach.

Long-Term Collaboration Remains Intact

Both companies emphasized that the updated agreement provides greater clarity and flexibility for future growth. The partnership will continue to focus on areas such as data center infrastructure, next-generation semiconductor development, and AI-driven cybersecurity solutions.

Microsoft will also remain a major shareholder in OpenAI, maintaining exposure to the company’s long-term growth potential.
