OpenAI is preparing for a highly anticipated initial public offering (IPO) and plans to reserve a portion of its shares for individual investors. CFO Sarah Friar confirmed the move in an interview with CNBC, signaling a shift toward broader retail participation in major tech listings.

IPO Could Value OpenAI Near $1 Trillion

The artificial intelligence company is laying the groundwork for a potential U.S. stock market debut that could value it at up to $1 trillion. Reports suggest that OpenAI may file with regulators as early as the second half of 2026, although no official timeline has been confirmed.

Strong Demand from Individual Investors

Friar revealed that OpenAI has already tested demand from retail investors during its latest funding round, noting significant interest from individuals.

She emphasized that for a company of OpenAI’s scale, it is important to operate with the structure and discipline of a publicly listed firm, even ahead of its IPO.

Record-Breaking Private Funding Round

OpenAI raised more than $3 billion from individual investors in its most recent funding round. Overall, the company secured $122 billion in committed capital, reaching a post-money valuation of approximately $852 billion.

Initially, OpenAI aimed to raise $1 billion from retail investors through private placements facilitated by major banks such as JP Morgan, Morgan Stanley, and Goldman Sachs. However, demand far exceeded expectations, resulting in the largest private placement ever executed by these institutions.

Retail Participation Still Limited in Most IPOs

Traditionally, institutional investors dominate IPO allocations, with retail investors typically receiving only 5% to 10% of available shares.

However, this trend could begin to shift. For example, Elon Musk is reportedly planning to allocate up to 30% of SpaceX’s future IPO shares to retail investors—significantly higher than the industry norm.

Changing Landscape for Public Offerings

The growing inclusion of individual investors in major IPOs highlights a broader transformation in capital markets. Companies like OpenAI are increasingly recognizing the importance of retail participation as demand from individual investors continues to rise.
